North American Customers Warranty

Napa Technology products, are covered from the date of purchase by a one year limited liability parts (with the exception of consumable parts), 90 day technical phone support (during normal business hours of 9AM-5:00 PM Local Time Monday thru Friday) and 90 day labor warranty (during normal business hours of 9AM-5:00 PM Local Time Monday thru Friday ) for defects in materials and workmanship. Warranty support covers parts and labor assistance to enable the intended functionality of the product and software. This warranty does not apply if, in the sole judgment of Napa Technology, the product fails due to damage from storage, accidents, abuse, misuse, fire, water, acts of nature or if it has been used or maintained in a manner not conforming to product instructions, has been modified in any way, or has a defaced or removed serial number. Repair by anyone other than Napa Technology or an approved agent voids this warranty.

Limitation of Liability. NAPA TECHNOLOGY LLC DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING BUT NOT LIMITED TO ANY LIABILITY FOR PRODUCT NOT BEING AVAILABLE FOR USE, LOST PROFITS, LOSS OF BUSINESS OR FOR LOST OR CORRUPTED DATA OR SOFTWARE, OR THE PROVISION OF SERVICES AND SUPPORT. EXCEPT AS EXPRESSLY PROVIDED HEREIN, NAPA TECHNOLOGY LLC WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. YOU AGREE THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCT, NAPA TECHNOLOGY LLC IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AMOUNT INVOICED FOR THE APPLICABLE PRODUCT. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY, THE REMEDIES SET FORTH IN THIS AGREEMENT SHALL APPLY EVEN IF SUCH REMEDIES FAIL THEIR ESSENTIAL PURPOSE.

If your product warranty has expired and you have not purchased an extended warranty, Napa Technology offers you three Extended Warranty Options:

WineStation Phone Support Warranty

Access to Napa Technology phone and email technical support during business hours Monday-Friday 8am to 5pm, in addition to unlimited online access to the WineStation Tutorial Video Library. Purchase additional weekend support and access phone and email technical support Friday 8am-9pm and Saturday-Sunday 8am-8pm.

Preventative Maintenance Program

Keep your WineStation operating at the highest level with our twice (2) annual on-site cleaning and maintenance program. This thorough service will provide a detailed cleaning and diagnostic check of each WineStation unit, in addition to a detailed operational overview and staff re-training.

WineStation Software Maintenance

The WineStation Software Maintenance & Support Program provides your business with annual access to new software releases, updates and enhancements that may occur after delivery. The WineStation Software Maintenance & Support Program provides your business with annual access to new software releases, updates and enhancements that may occur after delivery. One year Parts Warranty provides all non-consumable parts such as Circuit Boards, Power Supplies, Fans and Motors. This coverage does not include consumable accessories which include but are not limited to the Clean-Pour Dispensing Heads and parts, Pick Up Tubes, AccuServe Smartcards and dimming LCD’s. This coverage also includes annual phone support M-F 8am to 5pm and to unlimited online access to the WineStation Tutorial Video Library.

Parts Support Warranty

The WineStation One Year Parts Warranty provides all non-consumable parts such as Circuit Boards, Power Supplies, Fans, and Motors. This coverage does not include consumable accessories such as Clean-Pour Dispensing Heads, Pick Up Tubes, AccuServe Smartcards, and Dimming LCDs. This coverage also includes annual phone support warranty.

Not Under Warranty?

For Customers currently out of warranty, we have three options to immediately serve you:

Service Technician Phone Diagnostics

If your WineStation is out of warranty, but you just need a little guidance, our Service Team can give you a call back to help find a resolution. Should your WineStation need on site service, the phone diagnostics fee will be applied to the cost of the visit.

On Site Service Call

If your system is out of warranty, but wish to schedule a technician visit, a member of our customer support team will contact you.

End User License Agreement

This option is available for indirect purchases of the WineStation System. WineStation Software is defined as all Firmware and/or Software (including but not limited to the WineStation Portal and AccuServe) utilized internally within the WineStation or externally on all other devices (PC, MAC, Mobile etc.) which enable full or partial use of either the WineStation or its components or subsystems (including circuit boards, Integrated circuits etc.).

This copy of WineStation Software (“the Software Product”) and accompanying documentation is licensed and not sold. This Software Product is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Napa Technology, LLC or its subsidiaries, affiliates, and suppliers (collectively “Napa Technology, LLC”) own intellectual property rights in the Software Product. The Licensee’s (“you” or “your”) license to download, use, copy, or change the Software Product is subject to these rights and to all the terms and conditions of this End User License Agreement (“Agreement”).

License Grant
This Agreement entitles you to install and use one copy of the Software Product. In addition, you may make one archival copy of the Software Product. The archival copy must be on a storage medium other than a hard drive, and may only be used for the reinstallation of the Software Product. This Agreement does not permit the installation or use of multiple copies of the Software Product, or the installation of the Software Product on more than one computer at any given time, on a system that allows shared used of applications, on a multi-user network, or on any configuration or system of computers that allows multiple users. Multiple copy use or installation is only allowed if you obtain an appropriate licensing agreement for each user and each copy of the Software Product. Restrictions on Transfer
Without first obtaining the express written consent of Napa Technology, LLC, you may not assign your rights and obligations under this Agreement, or redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer your rights to the Software Product.

Restrictions on Use
You may not use, copy, or install the Software Product on any system with more than one computer, or permit the use, copying, or installation of the Software Product by more than one user or on more than one computer. If you hold multiple, validly licensed copies, you may not use, copy, or install the Software Product on any system with more than the number of computers permitted by license, or permit the use, copying, or installation by more users, or on more computers than the number permitted by license. You may not decompile, “reverse-engineer”, disassemble, or otherwise attempt to derive the source code for the Software Product. You may not use the database portion of the Software Product in connection with any software other than the Software Product.

Restrictions on Alteration
You may not modify the Software Product or create any derivative work of the Software Product or its accompanying documentation. Derivative works include but are not limited to translations.
You may not alter any files or libraries in any portion of the Software Product. You may not reproduce the database portion or create any tables or reports relating to the database portion.

Restrictions on Copying
You may not copy any part of the Software Product except to the extent that licensed use inherently demands the creation of a temporary copy stored in computer memory and not permanently affixed on storage medium. You may make one archival copy which must be stored on a medium other than a computer hard drive.

Limited Software Product Warranty
For a period of 60 days from the date of shipment or from the date that you download the Software Product, as applicable, Napa Technology, LLC warrants that when properly installed and used under normal conditions, the Software Product will perform substantially as advertised

Limited Storage Medium Warranty
For a period of One year from the date of shipment or from the date that you download the Software Product, as applicable, Napa Technology, LLC warrants that when properly installed and used under normal conditions, the storage medium on which the Software Product is shipped will be free of material defects in material and workmanship. Disclaimer of Warranties and Limitation of Liability UNLESS OTHERWISE EXPLICITLY AGREED TO IN WRITING BY NAPA TECHNOLOGY, LLC, NAPA TECHNOLOGY, LLC MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OTHER THAN AS SET FORTH IN THIS AGREEMENT OR IN THE LIMITED WARRANTY DOCUMENTS PROVIDED WITH THE SOFTWARE PRODUCT.

Napa Technology, LLC makes no warranty that the Software Product will meet your requirements or operate under your specific conditions of use. Napa Technology, LLC makes no warranty that operation of the Software Product will be secure, error free, or free from interruption.

YOU MUST DETERMINE WHETHER THE SOFTWARE PRODUCT SUFFICIENTLY MEETS YOUR REQUIREMENTS FOR SECURITY AND UNINTERRUPTABILITY. YOU BEAR SOLE RESPONSIBILITY AND ALL LIABILITY FOR ANY LOSS INCURRED DUE TO FAILURE OF THE SOFTWARE PRODUCT TO MEET YOUR REQUIREMENTS. NAPA TECHNOLOGY, LLC WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE FOR THE LOSS OF DATA ON ANY COMPUTER OR INFORMATION STORAGE DEVICE. UNDER NO CIRCUMSTANCES SHALL NAPA TECHNOLOGY, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS OR LOSS OF BUSINESS) RESULTING FROM THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE, INSTALLATION, OR USE OF THE SOFTWARE PRODUCT, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, OR THE NEGLIGENCE OF NAPA TECHNOLOGY, LLC OR AN OTHER PARTY, EVEN IF NAPA TECHNOLOGY, LLC IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT THE APPLICABLE JURISDICTION LIMITS NAPA TECHNOLOGY, LLC’S ABILITY TO DISCLAIM ANY IMPLIED WARRANTIES, THIS DISCLAIMER SHALL BE EFFECTIVE TO THE MAXIMUM EXTENT PERMITTED.

Limitation of Remedies and Damages
Any claim must be made within the applicable warranty period. All warranties cover only defects arising under normal use and do not include malfunctions or failure resulting from misuse, abuse, neglect, alteration, problems with electrical power, acts of nature, unusual temperatures or humidity, improper installation, or damage determined by Napa Technology, LLC to have been caused by you. All limited warranties on the Software Product are granted only to you and are non-transferable. You agree to indemnify and hold Napa Technology, LLC harmless from all claims, judgments, liabilities, expenses, or costs arising from your breach of this Agreement and/or acts or omissions.

Governing Law, Jurisdiction and Costs
This Agreement is governed by the laws of California, without regard to California’s conflict or choice of law provisions.
Your remedy for a breach of this Agreement or of any warranty included in this Agreement is the correction or replacement of the Software Product. Selection of whether to correct or replace shall be solely at the discretion of Napa Technology, LLC. Napa Technology, LLC reserves the right to substitute a functionally equivalent copy of the Software Product as a replacement. If Napa Technology, LLC is unable to provide a replacement or substitute Software Product or corrections to the Software Product, your sole alternate remedy shall be a refund of the purchase price for the Software Product exclusive of any costs for shipping and handling.

Severability
If any provision of this Agreement shall be held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. To the extent any express or implied restrictions are not permitted by applicable laws, these express or implied restrictions shall remain in force and effect to the maximum extent permitted by such applicable laws.
